Meng (Mandy) Lai

Ms. Lai is a founding partner with nearly two decades of experience representing U.S. and international public and private companies, financial institutions, and investment funds across M&A, joint venture, venture financing, capital markets, and securities transactions. Since founding MagStone Law, she has helped build the firm into a boutique practice for complex cross-border work spanning M&A, U.S. securities regulation, fund formation, and emerging technology transactions.

Her M&A experience includes representing a Silicon Valley technology company in its sale to Qualcomm, a California logistics company in a $100+ million sale to a Fortune Global 500 acquirer, a Hong Kong company in an approximately $100 million sale to a U.S. AI company, Genimous in its $252 million acquisition of Spigot, and Spearhead in its $148 million acquisition of Smaato.

Her fund formation and venture capital work covers fund structuring, compliance, and portfolio investments for clients including Yu Galaxy, WI Harper, Shangbay Capital, Sancus Capital, and a broad roster of institutional and emerging funds, with aggregate investment amounts exceeding $1 billion. She also advises high-tech, AI, and robotics companies on governance, compliance, and financing, and has represented U.S. investors in pre-IPO investments in OpenAI, SpaceX, Anthropic, and Databricks.

In capital markets and securities matters, she advises Nasdaq- and NYSE-listed companies on U.S. securities law compliance, IPOs, S-1 and F-1 registration statements, registered direct and follow-on offerings, De-SPAC transactions, Section 13D/13G beneficial ownership reporting, and ongoing Exchange Act reporting. Before founding MagStone Law, she practiced at Davis Polk & Wardwell in New York, Hong Kong, and Menlo Park, and at Sullivan & Cromwell in Hong Kong.

Ruming (Catherine) Liu

Ms. Liu is a founding partner of MagStone Law and a seasoned corporate attorney with more than a decade of experience representing public and private companies and investment banks in corporate and finance matters. She advises start-up and emerging growth companies from formation through acquisition or IPO, including venture capital financing, equity financing, operational compliance, technology development, licensing, distribution, and other technology transfer matters.

She also represents venture capital firms and angel investors in investments in start-up companies. In her public company practice, she advises on registered and unregistered securities offerings, executive compensation, mergers and acquisitions, corporate governance, periodic reporting, and tender offers.

Ms. Liu has served as lead counsel to ZGC Capital Corporation, AVIC Capital, Sinohydro Corporation, China Oceanwide, Donghai Securities, Tsingyuan Capital, SV Tech Ventures, NetPosa, Great Wall Club, Haiyin Venture Partners, Novumind, Musical.ly, PerceptIn, Nanjing Estun Automation Company, and other U.S. and Chinese companies and investment funds in acquisitions, financings, and joint ventures in the United States. She has also represented SPT Energy, China Tianrun Cement, and Daming International in IPOs, and assisted Nasdaq-listed companies with Forms 8-K, 10-Q, 10-K, Wells submissions, press releases, Schedule 13D/13G filings, and proxy statements.

Before founding MagStone Law, Ms. Liu practiced at Morrison & Foerster in Palo Alto, Los Angeles, and Hong Kong, and at Jun He Law Office in Beijing. She received degrees from Peking University Law School, the University of Hong Kong Faculty of Law, and the University of Pennsylvania, and serves as a mentor for Stanford's Technology Entrepreneurship summer session course.

Yue (Mark) Li

Mr. Li is an experienced corporate and securities law attorney whose current practice focuses on venture capital, fund formation, and mergers and acquisitions. Prior to co-founding the firm, Mr. Li practiced with Davis Polk & Wardwell LLP and DLA Piper LLP, both in New York City.

At MagStone Law, Mr. Li advises a wide spectrum of leading private fund sponsors on fund formation projects, fund investment transactions, and regulatory compliance. His fund sponsor clients include AXQ Capital, DHVC, EastAlliance Partners, Occudo Quantitative Strategies, Palm Drive, Pondmoon Capital, Scientech Research, Shuwei Capital, Tsing Capital, and Westfield Investment.

He has also led numerous VC financing and M&A transactions, including the going-private transaction of Newater Technology, the first contested transaction of its kind for a PRC-based issuer. At MagStone Law, he has led capital markets transactions on both the issuer side and the underwriter side, including representing Kingswood Capital Partners, Eddid Securities, Ninth Securities, and WestPark Capital on public offering transactions.

Mr. Li graduated magna cum laude from the Georgetown University Law Center with a Juris Doctor degree, and was named to the Order of the Coif. During law school, Mr. Li worked as a judicial intern for Senior Judge Gladys Kessler of the U.S. District Court for the District of Columbia and as a law clerk for the Board on Professional Responsibility, D.C. Supreme Court. Mr. Li has a B.A. degree from Peking University and an M.A. degree from the University of Notre Dame. Mr. Li is admitted to practice in New York and New Jersey.

Liwen Chen

Ms. Chen is a corporate lawyer with more than ten years of experience representing large corporations and investment funds in M&A transactions, including mergers, stock purchases and sales, asset purchases and sales, joint ventures, minority investments, reorganizations, and venture financing transactions. She spent much of her career in the New York office of Fried, Frank, Harris, Shriver & Jacobson, developing deep experience in transactions involving U.S.-based businesses and assets across a wide range of industries.

She has advised major Wall Street investment banks as financial advisor counsel in prominent M&A transactions and is well versed in deal-making strategies and valuation matters. Her prior clients include Merck & Co, Centerbridge Partners, Humana Inc., Goldman Sachs & Co, Deutsche Bank Securities, and Lazard Freres & Co.

Ms. Chen relocated to Asia in 2013 and has served as lead transaction counsel or financial advisor counsel in complex regional transactions, including multiple going-private transactions and minority investments by FountainVest Partners, the going-private transactions of AsiaInfo-Linkage and iSoftStone, Alibaba's acquisition of AutoNavi, and China Life's U.S. real estate investments. At MagStone, she advises Asia-based clients on offshore structuring and investment needs and serves as the firm's primary contact in the Greater China region.

Enshan Hong

Enshan Hong has more than 20 years of experience across nearly all aspects of intellectual property law, with particular emphasis on acquiring and protecting patent and trademark rights. He advises on client counseling, transactional, and litigation matters, including infringement and validity issues, freedom-to-operate opinions, patentability evaluations, due diligence investigations, and licensing arrangements for drug discovery, research, manufacturing, and marketing.

His technical experience began as a chemical engineering researcher at a large chemical corporation. His technical proficiency spans pharmaceuticals, chemicals, biotechnology, medical diagnostics, medical devices, food processing, polymers, petrochemicals, energy, materials, semiconductors, and consumer products. His clients include start-ups, multinational corporations, research institutes, universities, and foreign law firms.

Before joining MagStone Law, Enshan practiced for 10 years at a leading IP boutique in New York and for another 10 years at two national general-practice firms. He began his legal career in China as an in-house IP manager at a large corporation and holds degrees from China University of Petroleum, the University of New Hampshire Franklin Pierce School of Law, and Rutgers University School of Law.

Daniel Dezhan Li

Daniel Li is an experienced California real estate attorney. His practice includes purchase and sale of commercial real estate, commercial leasing, real estate development, luxury residential transactions, and real estate dispute resolution. His matters involve office buildings, R&D campuses, manufacturing facilities, warehouses, hotels, golf courses, drug stores, restaurants, gas stations, schools, and vacant land, as well as disputes involving purchase contracts, construction contracts, landlord-tenant issues, real estate fraud, title disputes, boundary disputes, and broker liability.

His clients include real estate investors, developers, owners, landlords, tenants, lenders, borrowers, brokers, and contractors. He has represented public companies and family-owned businesses, foreign corporations and local individuals, new immigrants, and scientist clients in real estate matters.

He received his LL.B. from Peking University and passed the National Bar Exam in 1996 with the highest score in Wuxi, Jiangsu. Before moving to the United States, he taught at Jiangnan University and practiced law in Beijing. He received his J.D. from the University of Minnesota Law School, was admitted in California in 2003, and studied law at UC Berkeley. He has been selected to Super Lawyers Rising Stars in real estate, is a member of the Urban Land Institute, and is also a real estate broker.

Tim Berry

A former senior trial attorney for the IRS, Mr. Berry has extensive experience representing corporations, partnerships, and individuals in all aspects of tax controversy, including examinations, appeals, and litigation. He routinely helps clients navigate negotiation with the IRS and has litigated numerous cases before the United States Tax Court, earning a perfect trial record.

Before joining MagStone Law, Mr. Berry worked as a manager in KPMG's mergers and acquisitions practice in Santa Clara, California, and previously served as a senior trial attorney for the IRS Office of Chief Counsel in San Francisco and Laguna Niguel.

Mr. Berry received his LL.M. in taxation from New York University School of Law, his J.D. from Lewis & Clark Law School, and his B.A. summa cum laude from the University of Oregon. He is admitted in California and before the United States Tax Court.
