特拉华公司法项下授予股票性权利及期权之近期更新
《特拉华州普通公司法》（下称“公司法”）第157条的修订，扩大了特拉华公司董事会在发行股票性权利及期权方面的可授权范围。在此修订前，第157条虽允许董事会将发行股票性权利及期权的权力下放给公司高管，但有诸多限制，且股票性权利及期权的条款，包括行权价格等，仍需由董事会来决定。
重要提示：请尽快提交BE-12基准调查报告
在美外商直接投资（FDI）BE-12基准调查报告的提交日即将截止。如您所知，根据美国商务部经济分析局（BEA）的规定，所有美国商业实体，无论是否登记注册成为公司，只要外国个人或实体直接或间接拥有或控制该美国实体10％或以上的表决权或同等权益，均须每五年提交一次BE-12基准调查报告。符合特定标准的私募基金可免于提交BE-12。
公司透明度法案的最终规则将于明年生效
